*Commercial License Agreement regarding the purchase of a License for the voice library and character 岡留イツト*

 

The seller (Cody Lash) grants the buyer (hereinafter referred to as "Licensee") a permanent, non-exclusive, non-transferable, worldwide license to use the Okaru Itsuto voice banks for authorized commercial purposes when buying a "Commercial-Use License" from codyboyo.

Voicebanks

​

This gives the licensee permission to use Okaru Itsuto's voice banks in commercialized music production (e.g. digital download albums, printed CDs, monetization on YouTube).

​

This license includes all languages as well as all past, current and future versions of Okaru Itsuto voicebanks. 

Any alteration and redistribution of the covered voicebanks' raw .wav files is FORBIDDEN.

​

Modification and non-commercial sharing of any Frequency Map files (FRQ, SPEF, FRT, etc.) is ALLOWED.

​

Modification and non-commercial redistribution of the oto.ini is ALLOWED.

​

​

Character, Images and Artwork

​

The use of the Okaru Itsuto character name for credit/attribution on commercial works is not necessary, but is allowed and highly encouraged.

​

This license does NOT grant permission for the Licensee to use any Okaru Itsuto character images created by any artists without prior permission.

​

Art used for the purpose of promoting or selling commercial music (e.g. videos, album covers) is allowed, as long as that art is created either by the Licensee or given to the Licensee with permission of the original artist (e.g. by commission).

In order to distinguish between what is deemed acceptable and non-acceptable use of Okaru Itsuto character images outside of the spectrum of music, please see the below definitions of Doujin vs Commercial:

Doujin (Acceptable):

Physical copies of art that are self-published, printed and sold in limited small batches at fan-events. These may include artbook anthologies and fanzines, prints, small trinkets (charms, stickers, etc.), and so on. Doujin materials are specifically intended more for promotion and fun than for generating income; they are “break-even” operations and do not produce a noticeable profit as the sales only cover base costs of production.

Commercial (Non-Acceptable; PERMISSION REQUIRED):

Continued or large-scale reproduction of a product intended to create profit, i.e. that which would be continually created and sold at multiple events or locations, in physical stores, or via online stores such as Storenvy, Etsy, eBay, Redbubble, deviantART, Cafepress, and other print/press websites and such.

“Commercial” character-image works as described are FORBIDDEN without explicit permission from Cody Lash (codyboyo).

​

“Doujin” works as described are acceptable and do not require prior permission, so long as they conform to the rest of the rest of the terms of this License Agreement.

Non-Permitted Use

​

The voicebanks/character of Okaru Itsuto should NOT be used for obscene, defamatory, libelous, slanderous and/or unlawful content.

​

The voicebanks/character of Okaru Itsuto should NOT be used for specifically spreading a political or religious message.

​

Disclaimers

​

Cody Lash holds no responsibility to incidents, damage and/or loss by the Licensee from downloading and/or using any of the voicebanks of Okaru Itsuto.

​

In addition: Cody Lash takes no responsibility for any incidents, damage and/or loss that occurs to any third party as a result from the Licensee’s usage of the voicebanks of Okaru Itsuto.
